Terms of Service

EFFECTIVE 30 MAY 2026 · OPERATOR: UPPERCUT STUDIO LTDA · SÃO PAULO, BRAZIL

These Terms of Service ("Terms") govern your use of uppercut.studio and any related services (collectively, the "Service") provided by Uppercut Studio LTDA ("Uppercut Studio", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old to use the Service. By signing in, you confirm you meet this requirement.

2. Account creation

Accounts are created via Google sign-in. You are responsible for maintaining the confidentiality of your Google account and for all activity that occurs under your Uppercut Studio account. Notify us immediately if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms or applicable law.

3. Access tiers

The Service has three user roles, assigned by us:

  • Admin — Uppercut Studio staff with full access to manage projects, clients, bids, and platform settings.
  • Client — Invited clients with access to review and comment on projects assigned to them.
  • User — Public sign-ups with access to their account page, owned tool licenses, and download history.

Your role is determined when your account is provisioned. We may change your role to reflect your relationship with Uppercut Studio.

4. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to access data or accounts you are not authorized for
  • Reverse engineer, scrape, or circumvent technical controls
  • Resell, sublicense, or commercialize access without our written permission

5. Intellectual property

Your content. You retain all rights to content you upload (e.g., reference images, project notes, comments). You grant us a non-exclusive license to store, process, and display that content as needed to operate the Service for you.

Our platform. The Uppercut Studio name, visual design, code, and brand assets of the Service are owned by Uppercut Studio LTDA. You may not copy or redistribute them without permission.

Project deliverables (visualization videos, 3D scenes, etc.) are governed by the separate project contract signed for each engagement and are NOT covered by these Terms.

6. Tools / scripts (storefront)

Where the Service offers downloadable tools or scripts (the "Tools"):

  • We grant you a non-exclusive, non-transferable, perpetual license to use the Tools for your own work or your employer's work, on any number of your devices.
  • You may NOT redistribute, resell, sublicense, or publish the Tools.
  • You may NOT reverse engineer the Tools or remove copyright notices.
  • Licenses are tied to your account and may be deactivated if you violate these Terms.
  • For paid Tools, Brazilian consumer law (CDC Art. 49) gives you a 7-day right of withdrawal from the date of purchase, provided you have not made substantial use of the Tool. After 7 days, sales are final.

7. Job applications & talent database

The Service includes a careers section at /careers. When you submit a job application — for a specific posting or as an open application — you confirm that:

  • The information you provide (name, email, country, discipline, links, CNPJ status, cover letter, social network URLs) is accurate and submitted by you.
  • You have the right to share any third-party links you include (portfolio, demoreel, etc.).
  • You consent to Uppercut Studio LTDA storing your application for up to two (2) years from submission for the sole purpose of evaluating you for current and future opportunities, per the Privacy Policy. You may revoke consent or request deletion at any time by emailing careers@uppercut.studio.
  • Submission of an application does not create an employment or contractor relationship. Any engagement will be governed by a separate written agreement.

8. Uppercut Academy

The Service includes Uppercut Academy at /academy — exclusive video lessons distributed under a per-user license grant. By submitting the Academy welcome form OR by accessing any Academy content, you confirm that:

  • You are 18 years of age or older. Academy programs are professional, adult-oriented content.
  • Access to Academy video material is granted by Uppercut Studio per user, per program. Logging in does not unlock content; an admin grant is required and may be revoked at any time, with or without cause.
  • Academy video material is exclusive, copyrighted, and not for redistribution. You may not download, copy, screen-record, share, or otherwise reproduce any Academy video, in whole or in part, by any means and in any form.
  • Every Academy playback session embeds a visible per-user watermark identifying you, and (in some sessions) a forensically-attributable invisible mark. Any copy of an Academy video that surfaces outside the platform will be traced to the user who originated it. We reserve the right to revoke access, pursue legal remedy, and seek damages in the event of unauthorized distribution.
  • You consent to Uppercut Studio LTDA storing your Academy lead information for up to two (2) years from last activity for the purpose of inviting you to programs, per the Privacy Policy. You may revoke consent or request deletion at any time by emailing academy@uppercut.studio.

9. Uppercut Versus

The Service includes Uppercut Versus at versus.uppercut.studio — an invite-only writing tool for songs and screenplays. Access is granted by Uppercut Studio per user (an admin grant; joining the wait-list does not by itself unlock access) and may be revoked at any time. By using Versus you agree that:

  • Your writing is yours. You retain all rights to the lyrics, screenplays, and other works you create in Versus. We claim no ownership of them and take only the non-exclusive license needed to store, process, sync, and display that work back to you so the tool functions.
  • We don't train on your work. Your writing is not used to train any AI model. When you invoke a word or phrase tool, only the word or line you act on plus a short excerpt of your subtext is sent to Google Cloud Vertex AI to return a suggestion, as described in the Privacy Policy.
  • AI suggestions are assistance, not authorship. Definitions, rhymes, synonyms, slang and phrase rewrites are generated automatically and may be inaccurate, or may coincide with existing works. You are responsible for reviewing what you keep and for ensuring your finished work does not infringe third-party rights.
  • Your work stays portable. You can export any project to a portable .versus file at any time. Files you import are sanitized on load; you are responsible for the content of any file you choose to import.
  • Versus is offered as-is and still evolving. We aim to keep your saved work and the .versus format readable across future versions, but you should keep your own exports of anything important to you.

10. Pricing & payments

When and if paid features are introduced, prices will be displayed in clear terms before purchase. Payments may be processed via Stripe or a similar regulated payment processor. Refunds outside the 7-day withdrawal period described in Section 6 are at our discretion.

11. Service availability

We aim to keep the Service available but do not guarantee uninterrupted access. We may take the Service offline temporarily for maintenance, updates, or to address security issues. We are not liable for losses caused by Service downtime.

12. Disclaimers & liability

The Service is provided "as is" without warranty of merchantability or fitness for a particular purpose. To the maximum extent permitted by Brazilian law, our total liability for any claim arising from these Terms is limited to the amount you paid us in the 12 months before the claim, or BRL 100, whichever is greater. This limit does not apply to liability that cannot be waived under Brazilian law (e.g., gross negligence, willful misconduct).

13. Termination

You may terminate your account at any time by emailing rodrigo@uppercut.studio.

We may terminate or suspend your account if you breach these Terms, with reasonable notice except where immediate action is needed to protect the Service or other users.

Upon termination, your access ends immediately. Your data is retained per our Privacy Policy.

14. Governing law & venue

These Terms are governed by the laws of the Federative Republic of Brazil. Any dispute arising from these Terms shall be resolved in the courts of the city and state of São Paulo, Brazil.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be notified via email to active users at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
